Rob Breunig is a middle market M&A and finance attorney with an emphasis on serving as strategic counsel to transportation and alcohol businesses in their transactions, corporate matters, and other legal representation needs. 

In addition to M&A, Rob’s corporate transactional representation includes business entity formations, reorganizations and related tax planning, partnership agreements and LLC operating agreements, as well as corporate governance documents, bylaws, and shareholder agreements. 

M&A in Global Trade, Transportation and Logistics

Rob serves as outside general counsel for Nashville, regional, and national transportation companies, including trucks, jets, additional motor carriers, and air carriers. He drafts and negotiates transportation agreements between air carriers, motor carriers, shippers, freight forwarders, and third-party logistics providers. He also advises aviation clients on the entire spectrum of aircraft finance corporate services, including taxation, transactional, and regulatory compliance issues.

M&A in Alcohol and Hospitality

Rob provides transactional and contractual support to alcohol manufacturers, distributors, and retailers in the domestic marketplace. Rob also assists clients in buying, selling, and protecting brands. Additional services to alcohol clients include corporate formation, governance, funding, strategy, real estate development, debt and equity financing, and contracts and agreements. 

Rob consults with Adams and Reese alcohol and hospitality practice attorneys to advise clients of the numerous regulations, licenses, and laws that vary from state to state, and also works with the firm’s IP attorneys to help businesses from the onset of establishing brands and trademarks to defending against infringers, and acting as strategic counsel in brand sales or acquisitions.

In addition to representing their M&A and transactional needs, Rob can assist all of his clients with their labor and employment needs, ranging from executive compensation and employee benefit plans to severance, equity, and other compensation arrangements. He counsels clients on investment diversification, securities compliance, tax qualification and plan administration of qualified and non-qualified plans and association-sponsored group benefit plans. He provides technical knowledge and advice to employers, associations and trustees on all aspects of corporate and regulatory compliance, ongoing fiduciary compliance.
