Overview
Jennifer Roselius, with close to 20 years of experience as a transactional attorney and as a former in-house corporate and real estate counsel, is a leading member of the Adams and Reese Corporate Services Practice Group.
Based in Mobile, Alabama, Jennifer represents clients in public finance transactions, mergers and acquisitions, commercial finance issues, real estate law, and other general corporate matters, including business formations, private and public securities offerings, negotiation of credit facilities, economic development projects, and leases. Her clients range across various professional services, including real estate developers, builders, health care providers, and banks. Jennifer also represents nonprofit tax-exempt organizations in acquiring and developing facilities and financing such projects through tax-exempt bond issuances.
Serving for seven years as corporate and real estate counsel at D.R. Horton Inc., Jennifer represented one of the nation’s largest homebuilders on more than a dozen private builder acquisitions and significant bulk asset acquisitions. She handled the drafting and negotiation of asset purchase agreements and other primary transaction documents, while also overseeing title review, local law matters, due diligence, and other work delegated to outside counsel. While at D.R. Horton, Jennifer also oversaw legal compliance with state laws, regulations and licensing requirements, litigation, alternative dispute resolutions, and contract negotiations and disputes with vendors, homebuyers, homeowners associations, and others.

Representation
- Represented non-profit foundation as borrower and owner of student housing facility financed with tax-exempt and taxable bond proceeds totaling over $280 million, including negotiation of financing documents, facility ground lease, management agreement and other operating agreements, as well as due diligence and advice on entitlement and development matters.
- Represented public solid waste disposal authority with the acquisition of county’s solid waste disposal system and financing of the asset acquisition and additional system improvements through the issuance of $33.37 million dollars of revenue bonds.
- Represented developer with acquisition, financing, and development of a build-for-rent residential townhome and cottage project with a project budget of approximately $16 million dollars, including the raising of $4.3 million dollars of equity through a private placement offering of membership units to accredited investors.
- Represented publicly traded homebuilder in the acquisition of a private regional homebuilder for a cash purchase price of approximately $100 million. Assets acquired from the private homebuilder included over 450 lots, homes under construction and finished homes. The client also acquired 350+ lots and control of over 650 lots through option contracts from seller’s affiliates and third parties.
